Terms of Service

By accessing or using FounderNotes (the “Service”), operated by One Unicorn, LLC (“Company,” “we,” “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Service.

You must be at least 18 years old and capable of forming a binding contract. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at privacy@foundernotes.ai of any unauthorized use.

You agree not to misuse the Service, including by scraping content in bulk, reverse-engineering the platform, reselling access, or violating our Acceptable Use Policy.

Paid plans are billed in advance on a recurring basis (monthly or annual) through our payment processor, Stripe, Inc. You authorize us and Stripe to charge your payment method for all applicable fees and taxes. Subscriptions renew automatically until cancelled from your account page. Except where required by law, fees are non-refundable.

We may change pricing on prospective renewal periods with at least 30 days' notice. Continued use after the change constitutes acceptance.

The Service, including its curated notes, summaries, software, design, and branding, is owned by the Company or its licensors and is protected by copyright, trademark, and other laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access the Service for personal, non-commercial use.

Quotations, citations, and attributions to third-party creators remain the property of their respective owners and are used under applicable fair use, license, or other lawful basis.

You retain ownership of content you submit (feedback, board posts, suggestions, comments). By submitting content, you grant the Company a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, host, reproduce, modify, distribute, and display such content in connection with operating, promoting, and improving the Service. You represent that you have all rights necessary to grant this license and that your content does not infringe any third party rights.

We may remove or modify user content at our discretion, including for violations of these Terms or the Acceptable Use Policy.

You may cancel your account at any time. We may suspend or terminate your access immediately, without notice, for any breach of these Terms or for conduct we believe is harmful to other users, us, or third parties. Sections intended to survive termination (IP, disclaimers, liability, indemnification, dispute resolution) will survive.

The Service is provided “as is” and “as available” without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or that any content is accurate, complete, or suitable for your purposes. Content on FounderNotes is for informational purposes only and is not professional, financial, legal, or investment advice.

To the maximum extent permitted by law, the Company and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our aggregate liability for any claim arising out of or relating to the Service is limited to the greater of (a) the amounts you paid us in the 12 months preceding the claim or (b) USD $100.

You agree to indemnify and hold harmless the Company, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms.

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to personal jurisdiction there.

We may modify these Terms at any time by posting an updated version and updating the “Last updated” date. Material changes will be notified by email or in-app notice. Continued use after the effective date constitutes acceptance.
